SCHEDULE 5.8 - Change

1. Each party may propose changes to the Contract for when the Contract does not otherwise make provision. The party proposing such change ( the Proposer ) shall notify the Contract Manager of the other party ( the recipient ) in writing of the proposed change.
2. When notifying the recipient of a proposed change, the Proposer shall provide such information as the recipient may reasonably require in order to enable the recipient to provide the information required under paragraph 3(b) below.
3. The recipient shall respond in writing to the Proposer as soon as reasonably practicable, but in any event within ninety (90) days: (a) stating whether it agrees in principle with the proposed change; and

(b) where the recipient does agree in principle to the proposed change, providing an estimate of any change in costs or revenues it requires to accommodate the proposed change and details of any consequential amendments to the Contract necessary to accommodate the proposed change.
4. Any change shall only be effective to amend the Contract when it is recorded in writing and signed by both parties.
