SCHEDULE 5.1 - Contract Management |

Appointment and Organisational Information |
| 1.1 LUL shall appoint a person to manage the Contract on behalf of LUL and Infraco shall appoint a person to manage the Contract on behalf of Infraco ( each being a Contract Manager ). The parties shall each provide to the other and regularly update a manual in such form as is appropriate in the circumstances which shall set out the organisational structure for that party together with details of the roles and responsibilities of all senior personnel within their organisation together with each individual's lines of reporting. To the extent that the organisational structure of a party changes from time to time such that the job titles and reporting lines referred to in the Contract and/or the manual cease to exist and/or change, the parties shall develop procedures whereby they provide to one another relevant updated information as may be necessary for them to comply with their reporting obligations under the Contract. |
| 1.2 Each of the parties shall include within the manual referred to in paragraph 1.1 above, a dated schedule signed by its Contract Manager, setting out the extent to which authority for managing any aspect of the Contract has been delegated by that party to individuals other than the Contract Manager. Where the extent or nature of any delegated authority by a party is amended, that party shall promptly notify the other party of such changes by submitting in writing a revised schedule signed by the Contract Manager. Subject to manifest error, each party shall be entitled to rely on the individuals so identified as having the delegated authority set out in the schedule most recently provided to it by the other party. |

Management |

2.1 The parties shall initially prepare, update and maintain in such manner as they may from time to time agree a procedure for managing the Contract. This procedure shall set out: (b) the form of programming information ( which shall be in an electronic format which is compatible with programming information then used by LUL ) that Infraco shall provide to LUL throughout the Contract Period; and (c) the frequency of meetings and forums necessary for the parties to maintain an overview of the Contract as a whole and to consider those matters which may not be specifically provided for in the Contract but which the parties may, from time to time, wish to address; and (d) the information to be provided by both parties prior to meetings to consider the matters contemplated by this paragraph 2.1 and the key attendees at them. |
| 2.2 The parties shall each use all reasonable endeavours to procure attendance at all relevant meetings by personnel of that party of suitable seniority and experience to contribute effectively to the topics for discussion at that meeting. |
| 2.3 In addition to the obligations of the parties under paragraph 2.1 above, they shall meet not less than once every four (4) weeks to discuss the performance of their respective obligations under the Contract. |
